Terms of Service

The agreement between you and Stread Tech Limited covering your use of Pencil.

1. Introduction

These Terms of Service govern your access to and use of Pencil, a feasibility and underwriting platform operated by Stread Tech Limited. You may be bound by additional contracts relating to your relationship with us or to particular products and services. Where a provision of an additional contract conflicts with these Terms, the additional contract prevails.

2. Acceptance

By creating an account, accessing, or otherwise using Pencil you agree to be bound by these Terms. Where you do so on behalf of an organisation, you confirm that you are authorised to bind that organisation, and references to you mean that organisation.

We record the date and the version of the Terms you accepted at the point your account is created.

3. Accounts and Workspaces

An account identifies a person. A workspace identifies an organisation, and holds that organisation's projects, data and subscription. You are responsible for keeping your credentials confidential and for all activity carried out under your account.

The number of people who may be given access to a workspace is limited by its plan. Accounts must not be shared between people.

4. Intellectual Property in the Platform

We or our licensors own and control all copyright and other intellectual property rights in Pencil, including the platform, its calculation engine, and the data, information and other resources it displays.

4.1 All rights reserved

Unless specific content dictates otherwise, you are not granted a licence or any other right under copyright, trademark, patent or other intellectual property rights. You will not copy, reproduce, perform, display, distribute, alter, reverse engineer, decompile, transfer, download, transmit, monetise, sell, market or commercialise any part of the platform in any form without our prior written permission, except insofar as mandatory law provides otherwise.

5. Responsible Use

You agree to use Pencil only for its intended purposes and as permitted by these Terms, any additional contracts with us, and applicable law. You must not use the platform to publish or distribute malicious software, conduct systematic or automated data collection against it, or engage in any activity that damages the platform or interferes with its performance, availability or accessibility.

6. Third-Party Services

Pencil may link to or interoperate with services operated by other parties. We do not monitor or review their content, and products or services they offer are subject to their own terms. We are not responsible for their privacy practices or content, and you bear the risks associated with using them.

7. Your Content

You retain all rights in the projects, appraisals, financial models, unit schedules and other material you enter into or upload to Pencil. We claim no ownership of it.

You grant us only the limited licence necessary to operate the service for you: to host, store, back up, process and display that material so the platform can function, and to disclose it where the law requires. We do not use it to market to third parties, and we do not publish it.

You are responsible for having the right to submit the material you upload, and for its accuracy.

8. Subscription, Fees and Taxes

Paid plans are offered on a monthly or annual basis and may carry a one-off setup fee. The fees, seat limits, project limits and included modules for each plan are those shown on the plans page at the time you subscribe.

Where you upgrade mid-period we invoice the difference in subscription fees, prorated for the remainder of the current period, together with any difference in setup fee between your current plan and the new one. An upgrade takes effect when that invoice is paid, not when it is requested. A downgrade takes effect at the end of your current billing period.

Value added tax is applied at the rate for the country recorded on your workspace. It is your responsibility to keep that country accurate, because it determines what you are charged.

Fees are payable in advance and, except where these Terms or the law provide otherwise, are non-refundable.

9. Late Payment, Restriction and Suspension

If an invoice is not settled by its due date we may restrict your workspace to read-only access, and subsequently suspend it. We will notify you before each step. Neither restriction nor suspension cancels your subscription or your liability for amounts already due.

Paying the outstanding balance restores access at any stage. Your content is retained throughout.

10. Cancellation and Termination

You may cancel a subscription at any time. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then. We do not refund the unused part of a period on cancellation.

We may terminate or suspend your access where you materially breach these Terms. Where we terminate for any other reason, we will refund the unused portion of any period paid in advance.

11. Outputs Are Not Advice

Pencil produces financial projections, return metrics, sensitivities and recommendations from the assumptions you supply. These are modelling outputs. They are not investment, financial, tax, legal or valuation advice, and they are not an offer or a recommendation to enter into any transaction.

The outputs depend entirely on the accuracy of your inputs and on assumptions about the future that may not hold. You are responsible for reviewing them, for forming your own view, and for taking your own professional advice before acting on them. We do not warrant that any projection will be achieved.

12. Warranties and Liability

Except where expressly stated, the platform and its content are provided without warranties of any kind, whether express or implied. We do not warrant that the platform will be available without interruption or free from error.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business or anticipated savings, arising from your use of the platform.

13. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

14. Legal Compliance

You agree to comply with all applicable laws, regulations and industry guidelines when using the platform.

15. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours without restriction, including as part of a merger, acquisition or sale of assets.

16. Breaches of These Terms

Where you breach these Terms we may take such action as we consider appropriate, including suspending or blocking your access, commencing legal proceedings, or any combination of these.

17. Force Majeure

Neither party is liable for a failure to perform where that failure results from an event beyond its reasonable control, and the affected obligations are suspended for the duration of that event.

18. Indemnification

You agree to indemnify us against any claims, liabilities, damages, losses and expenses arising from your breach of these Terms or from the material you submit.

19. Waiver, Language and Entire Agreement

A failure to enforce any provision of these Terms is not a waiver of it. These Terms are drawn up in English; any translation is provided for convenience and the English text prevails.

Together with our Privacy Policy and Cookie Policy, and any additional contracts between us, these Terms constitute the entire agreement between you and Stread Tech Limited in relation to your use of Pencil.

20. Changes to These Terms

We may update these Terms from time to time. Where a change is material we will give notice before it takes effect. Each version is identified by the version number shown at the top of this page, and the version you accepted is recorded against your account.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of Kenya, and disputes relating to them are subject to the jurisdiction of the courts of Kenya. If any provision is found to be invalid or unenforceable it will be modified or removed to the minimum extent necessary, and the remaining provisions are unaffected.
